Introduction

Welcome to 3rdBrain. These Terms of Service ("Terms") govern your access to and use of our software services. By accessing or using our services, you agree to be bound by these Terms and all applicable laws and regulations.

Services Description

Our software enables users to input research topics, such as "Agricultural Robotics", and select a target region, such as the United States. Users can choose from 15 data categories, including market size, growth drivers, key players, technology trends, value chain, supply chain, product life cycle, cost structure and user complaints. The software autonomously searches publicly available data, selecting information based on relevance, usefulness, and trustworthiness criteria, then compiles, analyzes, and generates comprehensive reports. The specificity of user queries determines the scope and focus of the data collection and analysis.

User Registration and Account Management

Users are required to create an account to access our services, which must be registered with a valid email address. Users are responsible for maintaining the confidentiality of their account and password. Users must be over the age of 13 or the applicable age of digital consent in their jurisdiction.

License and Access Rights

We grant users a limited, non-exclusive, non-transferable license to access and use our software in line with these Terms. Prohibited actions include modifying, distributing, creating derivative works of the services, using data mining tools without permission, and circumventing security measures.

User Responsibilities

Users are responsible for ensuring that their use of our software and the data produced complies with applicable laws, regulations, and industry standards. We make no representation or warranty that the data provided will meet specific regulatory compliance or reporting requirements for any industry. By using the software, users acknowledge that they bear sole responsibility for evaluating and interpreting the output generated by the software.

Data Protection and Privacy

We are committed to protecting the privacy and security of personal and corporate data collected and analyzed by our software. Data collected will be processed solely to deliver and enhance our services and as required by applicable laws. We employ stringent security measures, including encrypted data storage and restricted access protocols. To provide our services, we use reputable external providers such as AWS, which maintain high security and privacy standards to protect your data. These providers are contractually obligated to handle data with confidentiality and security protections consistent with these Terms.

Intellectual Property

3rdBrain retains ownership of all intellectual property rights in and to the software, services, and any related documentation. Users retain ownership of the content they input for processing within the software. By submitting content, users represent and warrant that they have the necessary rights or permissions to use such content and grant us a limited, non-exclusive license to process it. Users also agree not to upload or input content that violates the intellectual property rights of any third party.

Payment and Subscription Terms

• Subscription Renewals: Each Subscription Term will automatically renew unless you cancel at least 60 days prior to the renewal date.
• Billing Authorization: By subscribing, you authorize 3rdBrain to charge your credit card on file or invoice you for each renewal term until you cancel your subscription.
• Price Changes: We reserve the right to adjust pricing for our services at our sole discretion. Users will be notified of price changes at least 30 days in advance. Any price changes will be communicated via email or a noticeable announcement on our platform. Your continued use of our services after the price change comes into effect constitutes your agreement to pay the modified amount. If you do not agree with the changes, you have the right to reject them by unsubscribing before the price change becomes effective.

Confidentiality

Each party agrees to protect and use the other's confidential information only to fulfill obligations under these Terms.

Warranties and Disclaimers

Our services, including any data, reports, and analysis generated, are provided on an “as-is” basis without warranties of any kind, express or implied. 3rdBrain does not warrant the accuracy, completeness, or reliability of the information obtained through the software. As the data is derived from various sources, including third parties, we cannot guarantee it will meet specific business needs or be error-free. Users acknowledge that the services are provided for informational purposes only and should not be solely relied upon for business decisions.

Service Availability

Our goal is to maintain a high level of service availability. In the event of significant downtime, we will make reasonable efforts to resolve issues promptly and communicate any known outages or interruptions.

Indemnification

Users agree to indemnify and hold 3rdBrain harmless from any claims resulting from their use of our services.

Limitation of Liability

We are not liable for indirect, special, incidental, consequential, or punitive damages arising from service use. Liability is capped at the greater of $50 or the amount paid to 3rdBrain for services not yet provided. We are not responsible for any downtime, nor for the legitimacy and consequences of the information collected and analyzed.

Termination

Users may terminate their accounts at any time. Upon termination, we may delete or anonymize customer data within a reasonable period. 3rdBrain reserves the right to terminate accounts for breach of these Terms.

Dispute Resolution

All disputes will be resolved by arbitration in Delaware, US, except for issues regarding intellectual property rights.

Miscellaneous

These Terms constitute the entire agreement between users and 3rdBrain regarding service use.
Marketing Use of Client's Name: You grant us the right to mention your company's name and use your logo for marketing and promotional purposes, unless you notify us in writing otherwise.
